Key Notes

  • Canton Strategic reports tokenized CNTN share trades on November 4.
  • Fairmint records ownership and restricts holding and trading to verified participants.
  • TSV relies on a temporary conditional SEC exemption rather than exchange registration.

Canton Strategic Holdings says its tokenized CNTN common shares traded on November 4, with shares and payment settling together on the Canton Network. The Nasdaq-listed company called the transactions the first issuer-sponsored tokenized U.S. equity trades under the SEC’s September 17 Innovation Exemption.

Five North was the selling shareholder, DRW Cumberland the buyer and Flowdesk Liquidity Solutions the liquidity provider, according to the company’s announcement. The transactions took place on TSV LLC through a permissioned liquidity pool using Tradecraft, its automated market maker protocol.

The completed trades follow an October 29 agreement to make CNTN shares available on the venue. The release did not disclose the number of shares exchanged, the execution prices or the value of the transactions.

How the Shares Are Recorded

Fairmint says its subsidiary Fairmint TA LLC, an SEC-registered transfer agent, maintains the official ownership record on Canton as part of the issuer’s stock ledger. That role connects the blockchain transaction to the company’s shareholder records.

Five North requested that an existing CNTN position be registered in tokenized form. The transfer agent moved it from a broker-dealer account to the shareholder’s verified Loop Wallet. The issuer and Fairmint say the tokenized shares carry the same rights and privileges as CNTN shares held through Nasdaq.

Fairmint also manages the approved-holder and wallet lists and applies the issuer’s transfer restrictions. Buying the stock still requires identity verification, sanctions screening and wallet approval.

Atomic Settlement on a Permissioned Venue

TSV’s public notice says trading is live for approved participants. Its pools provide secondary trading in existing shares; the venue does not conduct primary offerings or raise capital for issuers.

Atomic delivery-versus-payment means the shares and payment transfer together, or neither transfer completes. It changes how a trade settles, without guaranteeing that a buyer will always find sufficient liquidity or an attractive price.

The venue is designed for round-the-clock availability, subject to mandatory trading stops, maintenance, risk controls and volume limits. A tokenized share’s availability therefore remains conditional even when the underlying blockchain is operating.

What the SEC Exemption Covers

The SEC’s exemption framework provides temporary, conditional relief from the Exchange Act’s definition of an exchange. TSV appears on the regulator’s list of firms that have submitted notices of intent to operate under it.

The SEC cautions that inclusion does not establish whether a venue qualifies for, or complies with, the exemption. It also does not endorse the merits or accuracy of a venue’s notice. TSV states that it is not SEC-registered for the exempt activities.

The CNTN trades add an issuer-led ownership model to a market developing along several paths. CoinScreamer has covered DTCC’s service, which tokenizes securities entitlements, and NYSE’s partnerships with transfer agents for its planned venue. Those initiatives involve different ownership and trading arrangements.
