Winklevoss Asset Services has filed an S-1 registration statement for a spot Zcash exchange-traded fund. The October 6 filing proposes holding ZEC directly and listing shares of the Winklevoss Zcash ETF on Nasdaq under the ticker WINK.
The proposed fund would track ZEC’s price after expenses, without leverage or derivatives. The prospectus specifies a 0.25% annual sponsor fee, accruing daily. Several other terms, including the pricing benchmark and certain service providers, remain placeholders.
Gemini Trust Company would hold the fund’s ZEC and is identified as an affiliate of the sponsor. The filing discloses potential conflicts involving affiliated parties. Cypherpunk Technologies is named as an ecosystem partner providing Zcash-related technical and advisory services.
The S-1 is preliminary and does not constitute SEC approval. The prospectus says securities cannot be sold before the registration statement becomes effective. Its risk disclosures cover regulatory changes and the distinctive risks associated with Zcash’s privacy features.
The application comes as Zcash tests changes to its network. CoinScreamer recently covered the NU7 testnet activation, which introduced 25-second target blocks. Developers are targeting November 5 for mainnet, with a final decision due October 20 after assessing testnet performance. That upgrade timeline is separate from the ETF’s registration process.
