Key Notes

  • Strategy has conditionally declared daily STRC dividends for November totaling $1 per share at a 12% annualized rate.
  • Daily record dates would include weekends and holidays, with payments on the next business day beginning November 2.
  • The new schedule requires approval at the October 28 shareholder meeting and timely effectiveness of the amended terms.

Strategy has conditionally declared daily cash dividends on its STRC preferred shares for November, maintaining a 12% annualized rate as shareholders prepare to vote on a new payment schedule on October 28.

The board approved the conditional declaration on October 15, according to an SEC filing submitted October 16. The schedule covers every calendar day from November 1 through November 30 and totals $1 per share. Payments would begin November 2 and finish December 1, with each dividend paid on the business day after its record date.

The distinction is important for holders of the Michael Saylor-founded company’s securities: the 12% figure is an annual rate, not a return for November. Daily record dates would also include weekends and holidays, while cash payments would follow the business-day calendar.

The vote comes before the new schedule

Two conditions must be met. Shareholders must approve the daily-dividend amendments by 5 p.m. New York time on October 31, and STRC’s amended certificate of designations must be filed and effective by 12:01 a.m. Eastern time on November 1. The special meeting is scheduled for October 28 at 10 a.m. Eastern time.

Strategy’s voting page says MSTR common shareholders of record on September 25 are eligible to participate. Owning STRC is therefore distinct from holding the common shares involved in this vote. Voting opened with the definitive proxy materials on October 5.

If both conditions are satisfied, the daily November payments replace the previously declared November 15 dividend. If they are not, that existing dividend remains payable and the proposed daily payments do not take effect. The alternatives cannot both become unconditionally payable.

More payment dates, the same annual rate

STRC, branded Stretch, is Strategy’s variable-rate perpetual preferred stock. The company calculates its annual dividend rate against a $100 stated amount. Its product description explains that the rate can change and that the security’s market price, and therefore a buyer’s effective yield, may differ from that reference amount.

Strategy is proposing to replace STRC’s current twice-monthly cadence with daily record dates. Its other U.S.-listed preferred securities, STRF, STRK and STRD, would move from quarterly dividends later: their first daily record date is planned for January 1, 2027, with the first payment on January 4, if the relevant amendments take effect.

The company’s investor presentation sets out the practical difference between daily accrual and daily cash receipt. Several record dates can share one payment date after a weekend or holiday. The November schedule, for example, groups the November 6, 7 and 8 entitlements into a November 9 payment.

The listed daily amounts are three or four cents per share, producing the disclosed $1 total for November’s record dates. The daily schedule divides the monthly amount into smaller distributions; it does not multiply the annual rate by the number of payments.

In its proxy statement, Strategy also preserves the ability to adjust future STRC dividend rates within the security’s terms. The amendment changes the timing of distributions, rather than locking in a permanent 12% rate. Future dividend declarations remain separate board decisions.

Why Strategy wants the change

Strategy says more frequent payments could reduce the delay before investors can reinvest dividends, lessen the influence of payment dates on trading decisions and support STRC’s price near its $100 target. Those are the company’s expected benefits, rather than confirmed market outcomes.

The proposal forms part of a wider effort to manage preferred securities alongside Strategy’s Bitcoin treasury. In its October 12 capital update, the company reported $192.4 million of STRC repurchases during October 5–11 and a separate $4.88 billion dollar reserve intended to support preferred dividends and debt interest.

CoinScreamer’s previous coverage examined those repurchases alongside a 250 BTC acquisition. The dividend declaration itself does not announce a new Bitcoin purchase or fresh proceeds from selling STRC.

Preferred-share financing is also developing elsewhere in the sector. Strive’s proposal for a SATS offering includes a different dividend rate and structure. It remains a separate issuer’s financing plan.

For STRC holders, the next decisive event is the shareholder vote, followed by the required filing becoming effective. Until those conditions are met, November’s daily payments remain conditional.
