Key Notes

  • Super League shareholders approved the transaction proposals on October 16, with the result announced October 19.
  • Metaplanet would contribute 2,100 BTC and cash at closing, rather than make a new market purchase.
  • The Superplanet name and SUPA ticker remain conditional on closing, expected in the fourth quarter.

Super League shareholders have approved proposals supporting Metaplanet’s planned investment of 2,100 Bitcoin and $2.5 million in cash, advancing the Japanese company’s effort to establish a U.S.-listed Bitcoin treasury platform.

The vote took place at Super League’s annual meeting on October 16, with the result announced on October 19. The transaction is expected to close in the fourth quarter of 2026, subject to remaining conditions, including required Nasdaq filings.

At closing, Super League would become Superplanet, Inc. and trade under the ticker SUPA. Its advertising and media activation business would continue as a separate operating segment, with Matt Edelman remaining chief executive.

Existing Bitcoin would seed the U.S. treasury

Metaplanet would make the contribution through its wholly owned U.S. subsidiary, Metaplanet Holdings. The Bitcoin would be transferred in kind, rather than acquired through a new 2,100 BTC market purchase by Super League.

The August 18 agreement describes a private placement into an existing Nasdaq-listed operating company. Superplanet would become a consolidated Metaplanet subsidiary, giving the group listed platforms in the United States and Japan.

The companies intend to use those platforms to access separate investor bases and capital markets while managing a single consolidated Bitcoin position. Moving coins between group entities would not, by itself, add 2,100 BTC to the group’s total holdings.

In exchange for the Bitcoin and cash, Metaplanet would receive 44,859,400 common shares at $3 each, alongside preferred shares and warrants. That common-share count was fixed using Bitcoin’s August 14 reference price and will not change with BTC’s price before closing.

The company valued the Bitcoin contribution at about $132.1 million on the contractual reference date and approximately $170 million as of October 16. These are dated valuations of the same planned contribution, rather than two separate investments.

More financing options would follow closing

The agreement also provides Metaplanet with ten-year warrants covering up to 381 million common shares. Separately, it would have 24 months after closing to subscribe for junior preferred shares representing up to another $210 million of investment. That is an optional subscription right, not additional cash already committed at closing.

Metaplanet’s common shares issued at closing, and shares subsequently issued through the relevant warrants or preferred conversion, would generally be subject to a five-year lock-up, with specified exceptions. The disclosed lock-up concerns those shares; it should not be read as a five-year restriction on selling Bitcoin.

The U.S. plan extends the financing strategy examined in CoinScreamer’s coverage of Metaplanet’s liquidity exercise. That earlier update described efforts to demonstrate access to cash and broaden funding sources while keeping Bitcoin at the center of the balance sheet.

The shareholder decision clears an important condition. The next milestone is closing, when the proposed Bitcoin contribution, name change and new ticker would take effect.
