Nasdaq-listed Tron Inc. has established an at-the-market program to sell up to $200 million in common shares, with net proceeds intended primarily for additional TRX purchases. The company outlined the financing in an October 14 SEC prospectus, expanding its options for funding its crypto treasury.

Clear Street will act as sales agent and may receive a commission of up to 3% of gross proceeds. Shares can be sold over time at market prices or through negotiated transactions. The company controls the timing and amounts, with no obligation to complete the full offering.

The $200 million figure is an offering ceiling, rather than money already raised or spent on tokens. Tron Inc. also lists working capital and general corporate purposes among potential uses, while retaining discretion to invest in technologies, products or businesses. New share issuance could dilute existing shareholders.

Tron Inc.’s shares traded at $1.1425, down 4.79%, at 15:56 UTC on October 15, according to Nasdaq. That quote concerns the company’s TRON stock ticker; TRX is the separate cryptocurrency it plans to accumulate. The financing is a share offering, rather than an issuance of new TRX.

The approach parallels other listed crypto treasury companies using equity sales to finance token purchases. CoinScreamer recently covered Strategy’s share sales, which supplied $21 million of the funding for its latest 250-BTC acquisition. Tron Inc.’s filing establishes a potential financing route without confirming equivalent completed purchases.
